Important Notice
Your attention is drawn in particular to clauses 7 to 15 and the provisions rendered in bold capitals. They contain risk warnings, assumptions of risk, limits of liability and indemnities, and explain what may happen if an Event changes, is postponed or is cancelled. Please read them before registering, paying or participating.
Before an Entry is confirmed, the person completing the transaction must be given an adequate opportunity to read these General Terms and must affirmatively accept them, including the highlighted risk provisions. If you register another person, you must have authority to do so and must bring these terms to that person’s attention.
By accessing a Platform, creating an account, buying Event-related goods or services, registering for an Event, attending an Event or participating in an Event, you acknowledge that:
- running, cycling and other endurance or mass-participation activities involve inherent risks, including collision, falls, equipment failure, illness, serious injury, permanent disability, property damage and death;
- you must assess your fitness, use suitable equipment, obey Event Rules and follow lawful safety instructions;
- Golazo may change, shorten, reroute, postpone, suspend or cancel an Event for safety, operational, regulatory or force-majeure reasons, subject to applicable law;
- withdrawals, transfers, deferrals, cancellation charges and refunds are governed by clause 7, the Event-specific Terms and applicable law;
- personal information and Event media are handled as described in Golazo’s Privacy Policy, Cookie Policy and applicable Event information; and
- Event Rules may include rules or codes issued by applicable athletics, cycling or other governing bodies.
Nothing in these General Terms excludes or limits a right or liability that applicable law does not permit to be excluded or limited, including liability for gross negligence where the Consumer Protection Act 68 of 2008 applies.
Introduction and Scope
These General Terms govern your relationship with Golazo when you use a Platform, create an account, register or assist another person to register, buy an Event-related product or service, attend an Event, volunteer at an Event or participate in an Event.
They apply to participants, entrants, account holders, customers, spectators, supporters, parents and guardians, team managers, coaches, volunteers and other persons who engage with Golazo or an Event, to the extent relevant to that engagement.
Golazo may organise an Event for itself or provide services for an event owner, client, rights holder or other disclosed principal. The applicable registration or transaction page will identify the relevant Event and, where appropriate, the supplier or contracting principal.
By accepting these General Terms electronically or in writing, or by participating after they have been properly brought to your attention, you agree to be bound by them and by the documents incorporated under clause 3.
These General Terms do not reduce any protection that cannot lawfully be waived under the Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002 or another applicable law.
Definitions
“Entry” means a registration, booking, ticket, accreditation or other confirmed entitlement to participate in or attend an Event or receive an Event-related service.
“Event” means any running, cycling or other sporting, participation, wellness, community, promotional, media or related event or initiative organised, managed, promoted or supported by Golazo, whether physical, virtual or hybrid.
“Event Rules” means the rules, codes, regulations, technical instructions, eligibility criteria, route or course requirements, safety protocols, cut-off times, equipment rules and official directions applicable to an Event, including applicable rules of a governing body or federation.
“Event-specific Terms” means the additional terms, fees, deadlines, refund or transfer rules, age or category restrictions and other information published for a particular Event, product or service.
“Golazo” means Golazo (PTY) Ltd, registration number 2025/196160/07.
“Golazo Group” means Golazo and its affiliated Golazo companies and operations from time to time. Golazo is a South African member of the international Golazo Group, which is headquartered in Belgium.
“Participant” means a person entered, accredited or otherwise permitted to participate in an Event and, where the context requires, includes a minor represented by a parent or legal guardian.
“Platforms” means websites, mobile sites, applications, registration and accreditation systems, payment interfaces, timing and results systems, communication channels and other digital services owned, operated or used by Golazo.
“Protected Parties” means Golazo, members of the Golazo Group and, in relation to an Event, the applicable event owner, client, rights holder, governing body, federation, venue or route owner, host authority, sponsor, supplier, contractor, official, director, officer, employee, volunteer and service provider.
Contract Documents and Precedence
These General Terms must be read with the applicable Event-specific Terms, Event Rules, registration or transaction page, Privacy Policy and Cookie Policy.
If documents conflict, mandatory law prevails first. Subject to that, the Event-specific Terms prevail for the particular Event or transaction, followed by the Event Rules and then these General Terms, unless the more specific document expressly states otherwise.
Event descriptions, route maps, schedules, start lists and promotional material are subject to reasonable operational changes and do not override the contract documents unless expressly stated.
A free electronic copy of the applicable terms must be available before the transaction is concluded and must be capable of being stored and reproduced.
Golazo may update these General Terms prospectively for legal, safety, operational or business reasons. A material change affecting an existing Entry will be communicated where required by law and will not retrospectively remove an accrued statutory right.

Accounts and Registration
You may be required to create an account to enter an Event, make a purchase or access Platform features. You are responsible for safeguarding credentials and for activity conducted through your account, except to the extent caused by Golazo’s breach of law.
All information supplied must be accurate, current and complete. You must promptly correct material changes, including contact, emergency, eligibility or medical information that may affect safe participation.
An application or payment does not guarantee acceptance. An Entry is confirmed only when the identified supplier issues confirmation after any required payment and eligibility checks.
Entries may be limited by capacity, age, category, qualification, licence, safety or other Event Rules. Golazo may verify eligibility and reject or cancel an Entry that does not satisfy those requirements, subject to applicable refund rights.
If you register or transact for another person, you warrant that you are authorised to provide their information and accept the applicable terms for them. For an adult, you must give them the terms and obtain their authority. For a child, clause 9 applies.
An Entry is personal and may not be sold, transferred, substituted, shared or used by another person unless an official transfer process expressly permits it. Unauthorised use may invalidate the Entry and compromise insurance, safety and results.
Golazo may suspend an account or Entry for fraud, chargeback abuse, material misrepresentation, unlawful activity, security risk or serious breach of the contract documents, after a fair process where reasonably practicable and subject to applicable law.
Operational, safety, service and Entry communications form part of delivering the transaction and may be sent without marketing consent where lawful.
Prices and Payment
The applicable price, currency, taxes, compulsory charges and disclosed transaction or processing fees will be shown before you place an order. Optional add-ons must be separately identified.
Before final submission, you must be given a reasonable opportunity to review the transaction, correct mistakes and withdraw from the transaction.
Payment may be processed by an authorised third-party payment provider. Its separate payment terms may apply, but they do not remove Golazo’s obligations under applicable law.
You authorise the collection of the displayed amount using the selected payment method and warrant that you are entitled to use that method. Bank charges, exchange-rate costs and international transaction fees charged by your provider remain your responsibility.
If payment fails, is reversed or is reasonably suspected to be fraudulent, the Entry or order may be withheld or suspended while the issue is investigated.
A confirmation or receipt will record the material transaction details. Full payment-card details are generally handled by payment providers rather than stored by Golazo, as described in the Privacy Policy.
Withdrawals, Cancellations, Transfers and Refunds
Event-specific Terms will state any withdrawal deadline, transfer or deferral option, administration fee and refund scale for the relevant Event. Requests must follow the official process and must be made by the person entitled to the Entry or an authorised representative.
Where section 17 of the Consumer Protection Act applies to an advance booking or reservation, you may cancel it and the supplier may impose only a reasonable cancellation charge. Reasonableness will be assessed with regard to the nature of the service, the notice given, the reasonable prospect of finding a replacement participant and relevant industry practice.
Where section 17 of the Consumer Protection Act applies, no cancellation fee will be imposed if the person for whose benefit the booking was made cannot honour it because of that person’s death or hospitalisation, subject to reasonable supporting evidence.
The seven-day cooling-off right in section 44 of the Electronic Communications and Transactions Act does not ordinarily apply to leisure services booked for a specific date or period. If that right, a cooling-off right arising from direct marketing or another non-excludable statutory right does apply to your transaction, it remains fully available.
A Participant who does not attend, starts late, fails an eligibility check, misses a cut-off or is disqualified for a material rule breach is not automatically entitled to a refund, but any right under applicable law and the Event-specific Terms remains unaffected.
Transfers, substitutions and deferrals are available only where the Event-specific Terms allow them. Golazo may require identity and eligibility checks and may charge a disclosed reasonable administration fee.
Merchandise, travel, hospitality, donations and other add-ons may have separate cancellation and return rules. Statutory rights concerning defective, unsafe, misdescribed or undelivered goods or services are not excluded.
Approved refunds will be returned through the original payment method where practicable and within the period required by applicable law. Reasonable payment-provider processing times may apply.
Event Changes, Postponement, Cancellation and Force Majeure
Golazo may reasonably change an Event’s date, start time, venue, route, course, distance, category, wave, cut-off, format or services where necessary for safety, legal compliance, permissions, operational integrity or circumstances outside reasonable control.
Golazo will take reasonable steps to communicate a material change through the contact details supplied, the Platform or official Event channels. Participants remain responsible for checking official updates before travel and participation.
If an Event is materially changed, postponed or cancelled, the available refund, transfer, credit or deferral option will be determined under the Event-specific Terms and applicable law, taking account of services already supplied and reasonable irrecoverable costs where the law permits.
Circumstances outside reasonable control may include:
- severe or unsafe weather, fire, flood, natural disaster or environmental hazard;
- epidemic, pandemic or public-health direction;
- war, terrorism, civil disorder, protest, strike or security threat;
- governmental, police, federation, venue or landowner direction or withdrawal of permission;
- route or road closure, transport disruption, utility or infrastructure failure;
- critical supplier failure despite reasonable contingency measures; or
- another event beyond the reasonable control of the relevant organiser that prevents or makes delivery unsafe or unlawful.
Travel, accommodation, visa, equipment-hire and other arrangements made with third parties are separate contracts. Golazo is not responsible for those costs merely because an Event changes, except to the extent liability arises under applicable law or from Golazo’s own actionable conduct.
If the supplier cannot honour an Entry because of overbooking or insufficient capacity, the rights and remedies in section 47 of the Consumer Protection Act apply where applicable.
Children and Persons Requiring Representation
A PARTICIPANT WHO IS UNDER 18 MAY ENTER OR PARTICIPATE ONLY WITH THE CONSENT OF A PARENT OR LEGAL GUARDIAN AND SUBJECT TO THE AGE, SUPERVISION AND ELIGIBILITY REQUIREMENTS IN THE EVENT RULES.
The adult giving consent confirms that they have legal authority to act for the child, has reviewed the Event information, considers the Event appropriate for the child and will comply with any supervision or collection requirement.
The parent or guardian must ensure that the child understands the safety instructions in an age-appropriate way and must disclose information reasonably required for the child’s safe participation.
A parent, guardian or representative is responsible for loss or a third-party claim caused by their own breach, misrepresentation, negligence or unlawful conduct, subject to clause 15.
Golazo may refuse or stop a child’s participation where required for safety, safeguarding, age compliance or the child’s best interests.
Eligibility, Event Rules and Conduct
Participants must satisfy the published age, qualification, classification, licence, membership, equipment and other eligibility criteria throughout the Event.
Where an Event is sanctioned, licensed or recognised by a governing body, applicable rules, codes and technical standards may include those of Athletics South Africa, Cycling South Africa, World Athletics, the Union Cycliste Internationale (UCI) or another identified national or international body.
Applicable anti-doping, integrity, safeguarding, eligibility, equipment, competition and results rules form part of the Event Rules. A Participant may be tested, sanctioned or required to provide information where those rules lawfully require it.
Participants and attendees must comply with lawful directions issued by Golazo, officials, medical personnel, marshals, security personnel, venue staff, police, traffic authorities and other competent authorities, including accreditation, access-control and prohibited-item requirements.
Abusive, discriminatory, threatening, violent, fraudulent, unsafe or seriously disruptive conduct is prohibited. So are course cutting, bib or transponder misuse, unauthorised assistance and conduct that unfairly affects another participant.
Golazo or an authorised official may refuse admission, remove a person, stop participation, impose a time penalty, disqualify a Participant or refer a matter to a governing body where reasonably justified by safety, integrity or a material rule breach.
A disciplinary or results decision will follow the Event Rules and any applicable appeal process. Consumer refund rights are determined separately under clause 7 and applicable law.
Running and Cycling Safety
Each Participant is responsible for undertaking appropriate training, honestly assessing their fitness and experience, and choosing a distance, category and pace suited to their ability and the Event conditions.
Running Events may involve uneven or slippery surfaces, kerbs, potholes, crowds, contact with other participants, road crossings, vehicles, heat, cold, altitude, darkness, water, trails, steep gradients and other route hazards.
Cycling Events may additionally involve high speed, close riding, bunch movement, drafting, sharp turns, descents, traffic, road furniture, mechanical failure, punctures and collisions with bicycles, vehicles, participants, spectators, animals or fixed objects.
A cyclist must use a properly fitted helmet complying with the Event Rules, ride a safe and roadworthy bicycle, secure equipment and accessories, and carry any mandatory repair, lighting, hydration or safety equipment.
A runner must use suitable clothing and footwear and may use a wheelchair, handcycle, stroller, mobility aid, poles or another device only where the Event Rules permit it and any required approval has been obtained.
Unless the Event Rules state that a route is fully closed, Participants must assume that public roads, crossings or adjacent areas may contain traffic and must obey road rules, marshals, signs and police instructions.
Headphones, cameras, phones, aerodynamic equipment, support vehicles, pacing, outside assistance, drafting and similar practices may be restricted or prohibited by the Event Rules. A device must never be used in a manner that reduces awareness or control.
Participants must respect the route, environment, residents and other users, dispose of waste only as directed and avoid conduct that creates unnecessary risk.
A PARTICIPANT MUST SLOW DOWN, STOP, WITHDRAW OR SEEK ASSISTANCE IF THEY ARE INJURED, UNWELL, DISORIENTED, UNABLE TO CONTROL THEIR EQUIPMENT OR INSTRUCTED TO DO SO BY AN AUTHORISED OFFICIAL OR MEDICAL PERSON.
Health, Medical Information and Emergency Assistance
Participation may place substantial stress on the cardiovascular, respiratory, musculoskeletal and other body systems. A Participant should obtain appropriate medical advice before participating if they have a condition, symptoms, medication, injury, pregnancy, disability or other concern that may affect safe participation.
Participants must provide accurate emergency-contact and material medical or accessibility information requested for safety and must carry medication or equipment they may reasonably need, subject to the Event Rules.
IF A PARTICIPANT IS UNABLE TO GIVE INSTRUCTIONS IN AN EMERGENCY, THE PARTICIPANT AUTHORISES REASONABLE FIRST AID, MEDICAL ASSESSMENT, TREATMENT, TRANSPORT AND DISCLOSURE OF RELEVANT INFORMATION TO EMERGENCY PERSONNEL WHERE REASONABLY NECESSARY TO PROTECT LIFE OR HEALTH.
Medical and emergency personnel determine treatment and transport based on professional judgment and available resources. Participation may be stopped on medical grounds even if the Participant wishes to continue.
Unless applicable law, insurance or the Event-specific Terms provide otherwise, the Participant is responsible for ambulance, hospital, repatriation and other personal medical costs.
Golazo will take safety and emergency measures reasonably required by law and the Event plan, but the presence of medical services does not eliminate the inherent risks of participation or guarantee a particular response time or outcome.
Acknowledgement and Acceptance of Risk
Mass-participation and endurance Events take place in dynamic environments and may involve risks that cannot be completely eliminated even when reasonable safety measures are used.
Risks may arise from:
- physical exertion, dehydration, fatigue, heat illness, hypothermia, cardiac or respiratory events and other medical conditions;
- falls, collisions, crowd movement, contact, speed, terrain, road surfaces, traffic and route obstacles;
- weather, visibility, altitude, water, animals, vegetation and environmental conditions;
- bicycle, timing-chip, transponder, barrier, facility or other equipment failure;
- acts or omissions of participants, spectators, road users, landowners and third parties; and
- delayed access to assistance in remote, congested or rapidly changing conditions.
THE POSSIBLE CONSEQUENCES INCLUDE PROPERTY LOSS OR DAMAGE, MINOR OR SEVERE INJURY, ILLNESS, PERMANENT DISABILITY AND DEATH.
SUBJECT TO RIGHTS AND LIABILITIES THAT CANNOT LAWFULLY BE EXCLUDED, THE PARTICIPANT KNOWINGLY AND VOLUNTARILY ACCEPTS THE ORDINARY AND INHERENT RISKS OF PARTICIPATING IN AND ATTENDING THE EVENT.
Where the Consumer Protection Act applies, these risk provisions must be presented conspicuously before the earlier of payment, Entry, participation or access, and the Participant must assent in a manner that demonstrates awareness and acceptance.
Limitation of Liability
This clause applies only to the maximum extent permitted by law and must be interpreted narrowly so that it does not defeat a non-excludable statutory right or duty.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROTECTED PARTIES ARE NOT LIABLE FOR LOSS, DAMAGE, INJURY, ILLNESS, DISABILITY OR DEATH ARISING FROM AN INHERENT RISK OF THE EVENT; A PARTICIPANT’S BREACH OR FAILURE TO TAKE REASONABLE CARE; AN ACT OR OMISSION OF A THIRD PARTY OUTSIDE THE RELEVANT PROTECTED PARTY’S REASONABLE CONTROL; OR THE ORDINARY NEGLIGENCE OF A PROTECTED PARTY IN CONNECTION WITH PARTICIPATION IN OR ATTENDANCE AT THE EVENT.
NOTHING IN THESE GENERAL TERMS EXCLUDES OR LIMITS LIABILITY FOR GROSS NEGLIGENCE, WILFUL MISCONDUCT, FRAUD, OR ANY LIABILITY, REMEDY OR STATUTORY DUTY THAT APPLICABLE LAW DOES NOT PERMIT TO BE EXCLUDED OR LIMITED.
To the maximum extent permitted by law, no Protected Party is liable for indirect or consequential loss, loss of profit, loss of opportunity or travel and accommodation costs that were not reasonably foreseeable when the contract was concluded.
For a claim unrelated to death or personal injury and where a monetary cap is lawful, Golazo’s aggregate contractual liability is limited to the amount paid for the Entry, product or service that directly gave rise to the claim. This cap does not apply to liability described in clause 14.3.
Nothing in this clause prevents a consumer from requiring timely performance and service of the quality required by applicable consumer law or from claiming a remedy that the law makes available.
Indemnity
TO THE MAXIMUM EXTENT PERMITTED BY LAW, A PARTICIPANT INDEMNIFIES THE PROTECTED PARTIES AGAINST A THIRD-PARTY CLAIM, LOSS OR REASONABLE COST ONLY TO THE EXTENT CAUSED BY THE PARTICIPANT’S BREACH OF THESE TERMS OR EVENT RULES, UNLAWFUL OR WILFUL CONDUCT, NEGLIGENCE, OR DAMAGE TO ANOTHER PERSON OR PROPERTY.
The indemnity is proportionate to the Participant’s responsibility and does not apply to the extent that the claim or loss was caused by a Protected Party’s gross negligence, wilful misconduct, fraud or breach of a non-excludable duty.
A parent, guardian, team manager or other representative gives the same indemnity for a third-party claim caused by their own conduct, breach or unauthorised act, but does not waive the represented person’s non-excludable rights.
Personal Property, Equipment and Insurance
Participants and attendees remain responsible for bicycles, wheels, timing devices, clothing, bags, phones, vehicles and other property they bring to an Event. Any bag-drop, bicycle park or storage service is subject to its published rules.
Golazo is not liable for loss, theft or damage to personal property except to the extent caused by actionable conduct for which liability cannot lawfully be excluded.
A Participant is responsible for inspecting, maintaining and safely using their own equipment and for complying with any mandatory equipment check. An official check does not transfer that responsibility to Golazo.
Participants should obtain suitable medical, personal accident, travel, cancellation, bicycle, equipment and third-party liability insurance for their circumstances. Any insurance maintained by Golazo is subject to its policy terms and does not necessarily insure a Participant personally.
Lost property may be retained for a reasonable published period and may then be donated, recycled or destroyed, subject to applicable law.
Timing, Tracking, Results and Records
Participants must correctly wear and use any assigned bib, number, timing chip or transponder and must not swap, alter or reproduce it except through an authorised process.
Timing, tracking and results may depend on third-party systems, connectivity and correctly used equipment. Split times, live tracking and preliminary results are informational and may be delayed, incomplete or corrected.
Results become final under the Event Rules after any verification, protest, anti-doping or disciplinary process. Challenges must be submitted through the prescribed process and within the published deadline.
Where applicable, results, licences, rankings, qualifications, sanctions and related records may be submitted to Athletics South Africa, Cycling South Africa, World Athletics, the UCI or another identified governing body or results service.
Publication, correction, retention and sharing of results and tracking information are governed by the Privacy Policy, applicable law and the Event Rules.
Privacy, Cookies and Communications
Golazo processes personal information in accordance with its Privacy Policy and applicable law. The Privacy Policy explains the categories, purposes, lawful grounds, recipients, international transfers, retention, security, rights and complaint channels relevant to Golazo’s processing.
The Cookie Policy applies to cookies and similar technologies used on the Platforms and explains the available preference controls.
Golazo may send Entry confirmations, payment records, safety alerts, schedule or route changes, Event instructions, results information and other communications necessary to administer the transaction or Event.
Marketing communications will be sent only where permitted by law. You may opt out of marketing without opting out of operational or safety communications needed for an active Entry or service.
If you provide information about another person, including an emergency contact, team member or child, you must be authorised to do so and must give them information required by applicable law.
Event Media
Running, cycling and other Events are public-facing activities. Photographers, broadcasters, spectators and content teams may capture images, audio or video in public Event areas.
Golazo and authorised Event partners may lawfully create, publish, broadcast, promote and archive appropriate Event media for reporting, Event communication, promotion and the sporting or historical record, subject to the Privacy Policy, applicable law and any Event-specific permission or choice.
Unless expressly agreed otherwise, no fee is payable to a Participant for incidental or Event-focused use of their image or performance in lawful Event media.
A person with a safeguarding, safety or privacy concern should contact Golazo promptly. Golazo will consider the request under applicable law, taking account of public-interest, journalistic, contractual and practical considerations.
Personal, non-commercial photography is permitted only where it is safe, lawful and allowed by the Event Rules. Commercial recording, live streaming, drones and use of restricted areas require prior written authorisation.
Intellectual Property and Commercial Rights
All rights in the Platforms and Event materials, names, marks, logos, routes, designs, databases, timing and results presentation, photographs, footage and other content belong to Golazo or the applicable event owner, licensor or rights holder.
You receive a limited, revocable, non-transferable right to use the relevant Platform and Event materials for personal, lawful purposes connected with the Event. No ownership right is transferred.
Without prior written consent, no person may scrape or commercially exploit Event data; reproduce credentials; use Event branding commercially; conduct ambush marketing, vending, fundraising or promotion; or imply sponsorship, endorsement or association.
If you submit content, you confirm that you have the necessary rights and grant Golazo a non-exclusive, worldwide, royalty-free licence to host, reproduce and communicate it for the submitted purpose. This does not override privacy or consumer rights.
Platforms and Third-Party Services
You may not misuse a Platform through unauthorised access, interference, malware, automated extraction, impersonation, fraud, infringement or conduct that compromises security, availability or another person’s rights.
Golazo takes reasonable steps to maintain the Platforms but does not guarantee uninterrupted or error-free availability. Planned maintenance, connectivity failures, cyber incidents and third-party outages may affect service.
A Platform may link to registration, payment, mapping, timing, social-media, travel or other third-party services. An independent third party is responsible for its service and terms. Golazo remains responsible for its own duties and for operators acting on its instructions as required by law.
If a Platform error materially affects an Entry or payment, notify Golazo promptly with available evidence so that the transaction can be investigated and corrected.
Complaints and Dispute Resolution
A complaint should first be submitted through the contact details in clause 4 with the Event or order reference, relevant facts and requested outcome. Golazo will seek to respond within a reasonable period.
The parties should seek to resolve a dispute directly. After a dispute arises, they may agree in writing to mediation or arbitration, including under the rules of the Arbitration Foundation of Southern Africa. Arbitration is not compulsory unless so agreed.
Nothing prevents a consumer from using an ombud, consumer court, the National Consumer Commission, the National Consumer Tribunal, another regulator or a competent court where applicable law permits.
Either party may seek urgent or interim relief from a competent court. No contractual time limit in these General Terms shortens a statutory prescription or complaint period.
Governing Law and Jurisdiction
These General Terms and a transaction with Golazo are governed by the laws of the Republic of South Africa.
The South African courts have jurisdiction, but this does not deprive a consumer of mandatory protections or a forum that cannot lawfully be excluded for that consumer or transaction.
General Provisions
Notices may be delivered through the Platform, the contact details provided for the Entry, or Golazo’s contact form. You must keep your contact details current.
Golazo may transfer its rights and obligations to a Golazo Group member, successor, event owner or purchaser of the relevant business if this does not unlawfully reduce an existing consumer right. You may transfer your rights only through an authorised process or with written consent.
A failure or delay in enforcing a right is not a waiver. A waiver is effective only for the specific matter for which it is given.
If a provision is unlawful or unenforceable, it must be read down or severed to the minimum extent necessary, and the remaining provisions continue in effect.
The clause 3 documents constitute the agreement for their subject matter, without excluding any non-excludable representation or right. Provisions intended by their nature to survive completion or termination do so.
